Terms of Use

The Undernet LLC, an Illinois limited liability company, provides Underscore, Undercurrent and underscore.website and its subdomains (the “site”). In these terms, “we” and “us” mean The Undernet LLC. The sections below distinguish use of the site, the direct application license, and App Store purchases. Nothing here removes rights or remedies that applicable law gives you and does not allow us to limit.

1. This website

The site provides product information, downloads, license recovery and Undercurrent. By using the site, you agree to the terms applicable to it. We may change or move parts of the site. We do not promise uninterrupted availability. Changes to the site do not cancel rights already granted by a completed purchase or by the generated-audio permission below. Statements about possible future features are plans, not release commitments.

2. Underscore direct application license

The following license and refund terms apply to direct purchases. Current checkout availability is shown on the purchase page. The price is $40 USD for Underscore 1 for macOS; the checkout shows the final price, currency and applicable taxes before payment. No demo or free trial is included with the initial direct release.

Who may use a license

Your purchase grants you a non-exclusive license to use Underscore 1 on compatible Macs you own or control. One license covers one person, including commercial music work, without a fixed machine activation count. A studio or business needs a license for each person using the app. Keep your license file private; do not redistribute, sell or publish it. A license permits use of the app; it does not transfer ownership of the software, branding or third-party components.

Version rights, updates and offline use

Your one-time purchase covers permanent use of Underscore 1 and all 1.x updates we release. It is not a subscription. Future major versions may be optional paid upgrades, with discounted upgrade pricing for existing owners. You may continue using Underscore 1 without buying an upgrade. We do not promise a particular future release, indefinite maintenance, or compatibility with every future macOS version or device.

The direct app verifies a saved license on your Mac and does not require periodic online activation. Checkout, downloads, update checks and license recovery use online services; permanent use rights do not promise that those services will operate forever. Keep private backups of your installer and license file.

Project compatibility and product support

Updates within Underscore 1.x will continue to open, play and let you edit valid projects saved by earlier publicly released 1.x versions, starting with Underscore 1.0.0, with their required audio files present. This includes projects saved by the publicly available 1.0.0 release candidate. Features added later may not apply to an older project or may start at their default settings. We will preserve authored settings and their musical meaning, including timing, pitch, levels, routing and trigger conditions. This is not a promise of identical audio samples across releases: corrections and improvements to audio processing can change the sound. We will describe material sound or project-format changes in release notes.

Saving a project in a newer app may update its format, and an older app may not open it afterward. This promise does not cover other unreleased experimental test-build formats or guarantee that every future major version will read every older format. Keep copies of important projects and audio exports before updating. Contact underscoremusicapp@gmail.com for installation, licensing and troubleshooting support. We do not promise a particular response time, a fix for every issue, or recovery of lost or damaged work. This does not limit remedies required by law.

Direct payments and refunds

The Undernet LLC sells and licenses Underscore. Direct payments use Stripe Managed Payments, provided by Sold through Link, LLC, a Stripe affiliate acting as merchant of record. We provide the app, its license and product support. The checkout and receipt identify the merchant of record and the transaction terms that apply to your purchase.

If the app is not working as expected, contact underscoremusicapp@gmail.com with your order reference and a description of the problem. You may also use the support link on your receipt. The merchant's refund policy and your statutory rights apply even where they allow a refund beyond our own policy. Nothing here requires you to complete troubleshooting before exercising a legal right to a refund.

EU and UK consumers buying through Link. The Sold Through Link terms provide a 14-day cancellation period from the date you receive access to or delivery of the product. To request cancellation under that provision, contact Link customer support and identify the cooling-off period as the reason. Our discretionary refund policy does not override that provision or other rights that apply to your purchase.

Outside refunds provided by applicable law or the merchant's terms, we consider requests individually and do not offer an additional unconditional money-back guarantee.

A completed full refund ends your right to use the refunded application license. Stop using that license and remove its copies. This does not affect ownership of your music or projects, or permission to distribute work made while licensed, including productions incorporating factory sounds under the permission below. A refund does not erase your music or project files. These terms do not claim that an already delivered offline license can currently be disabled remotely. A later purchase receives its own license.

Your music and the factory sounds

We claim no rights in the music, patterns, projects or exports you create. You may release your work commercially without paying us royalties or crediting us. You remain responsible for permission to use material created by others and for any consent required when recording audio.

Underscore's included factory kits have a separate license in each kit's LICENSE.md. You may use, modify and distribute those sounds within music, films, games and other productions, including commercial productions, without royalties or attribution. You may not redistribute the factory sounds as standalone samples, another sample library, or a product whose primary value is those sounds. The kit license also permits including those sounds in an Underscore project bundle for collaboration, playback or archival use. A later refund of the app does not withdraw permission to use or distribute productions you made while licensed, including the factory sounds incorporated in them. That continuing permission is an additional grant alongside the kit license and remains effective after a refund. This summary does not reduce any permission granted by the kit license; otherwise, the kit license governs if it differs from this summary. Third-party components retain their own licenses, available in About Underscore > Third-Party Notices (Help > Licenses in earlier versions).

Mac App Store copies

The direct application license and direct refund process above do not govern a copy bought through the Mac App Store. We license App Store copies under Apple's Standard EULA, unless the listing presents an applicable custom license. Apple handles App Store billing and refund requests under its own terms. We provide product support. The project-support commitment and permissions for creative work and factory sounds above also apply to App Store copies; they do not replace Apple's agreement.

3. Undercurrent and generated audio

Undercurrent is a free browser-based wave designer. You do not need an Underscore purchase to use it. You may use audio generated with the tool, including its built-in presets, in music, videos, games and other productions, including commercial releases, without royalties or credit. You may share and sell recipes you design yourself. We claim no ownership of your generated audio or your original recipes.

You may not sell audio generated with Undercurrent as standalone sounds, or repackage or distribute it as sample packs, kits, audio packages or similar products. This applies to all audio generated with the tool, whether you use supplied presets, modified presets or settings you create yourself. You may use those sounds within your compositions and other productions as described above. You may not sell or redistribute the supplied presets or their recipes as preset collections or similar products.

To the extent we hold rights in the supplied presets or their generated output, we grant a worldwide, non-exclusive, royalty-free, perpetual permission for the uses permitted above, subject to the restrictions on standalone audio, audio packages and supplied presets. This permission does not grant rights in the tool's source code, branding or material supplied by someone else. It does not promise that a waveform is unique or eligible for copyright protection. Underscore's factory sound library remains subject to its separate permissions in Section 2.

Audio generation and recipe processing happen locally in your browser, as explained in our Privacy Policy. Save copies of work you want to keep; the tool is not a cloud backup service. We may update or discontinue the hosted tool, but doing so does not withdraw permission for audio or recipes already generated.

4. Intellectual property

The application and tool, our branding, and the site's design and text remain our property or that of their respective rights holders. The permissions for your music and generated audio above do not grant rights to copy the site or software wholesale, or use our names or marks to imply an endorsement. You may quote or link to the site with attribution. Third-party fonts, libraries and other components remain subject to their own licenses.

5. Acceptable use and listening

Do not use the site to break the law, gain unauthorized access, introduce malicious code, attack its services, or impose unreasonable load through scraping or automated requests.

Start playback at a low speaker or headphone level and increase it gradually. Samples, effects and recordings can vary substantially in level. High listening levels can harm hearing and may damage audio equipment. Follow your equipment manufacturer's guidance. Software volume controls, meters and limiters do not establish a safe physical listening level or guarantee protection of equipment. Keep backups of projects, recordings and recipes. These precautions do not waive your rights if the software is defective.

6. Third-party services and links

External checkout, Apple services and other third-party sites have their own terms and privacy policies. We do not control them. Links do not imply endorsement. Their involvement does not transfer our responsibility for our software to them.

7. Privacy

Our Privacy Policy describes local processing, website hosting, purchases, license recovery and other handling of information. It forms part of the terms applicable to the site.

8. Warranties

The express license, project-support and generated-audio commitments above remain in effect. Beyond those commitments and warranties that applicable law requires, the site, Undercurrent and the direct edition of Underscore are supplied as available, without a promise of flawless operation, uninterrupted availability or suitability for every particular purpose. Where the law permits their exclusion, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. This section does not replace the warranty provisions applicable to an App Store copy under Apple's agreement.

9. Liability and rights that remain protected

Where applicable law permits, we are not liable for indirect, incidental, special or consequential loss arising from the site, Undercurrent or the direct edition of Underscore. This includes lost profits, lost business opportunities and business interruption, and loss of data or audio work to the extent that it is an indirect or consequential loss. A claim is not excluded merely because it concerns lost work or equipment damage; its treatment depends on applicable law and the nature of the loss.

Where the law permits, our total liability to you for all claims relating to the site, Undercurrent or the direct edition of Underscore, whatever the legal theory, is limited to the greater of the amount you paid for your Underscore license or US$100. App Store copies remain governed by the applicable application agreement.

None of these exclusions or limits applies to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that the law does not permit us to exclude or limit. Consumer guarantees and statutory rights to repair, replacement, refund or other remedies remain unaffected. Where a provision cannot lawfully apply to you, it does not apply; the remaining terms continue to the extent permitted.

10. Changes to these terms

We may update the terms for future site use or purchases and will identify the revision date. An update does not retroactively reduce the permanent version rights, creative-work permissions or other express rights granted with your existing purchase. New major-version offers may have their own terms, presented before you choose to buy them.

11. Governing law

These terms are governed by Illinois law, without its conflict-of-law rules. Disputes may be brought in the state or federal courts in Cook County, Illinois, except where applicable law gives you the right to bring a claim elsewhere. If you are a consumer resident elsewhere, mandatory protections of your place of residence remain available. These terms do not require arbitration or waive class-action rights.
